This agreement outlines the terms and conditions that apply to the use of services provided by Partou Portugal LDA, having Portuguese fiscal identification number 517161737, and operating under the name Tytle (“Tytle”), in particular on its website and its digital environments that are created for users who seek assistance or information with regard to fulfilling international tax obligations or tax planning (hereinafter referred to as “Users” and as “Platform”).

Services Provided by Tytle

1.1. On the Platform, Users are offered information and simulation tools with regard to questions of (international) taxation. Through the same Platform, Users can also share information with Tytle in order to preliminarily (self-)assess international tax situations and/or to seek referral to tax advisors within Tytle’s network (“Partner Tax Advisors”).

1.2. In case of referral, Partner Tax Advisors will be engaged upon User’s request to assist in tax planning or preparing User's tax returns, based on the information provided by User, either through Tytle, or directly to the Partner Tax Advisor. Partner Tax Advisors may request additional information from User in order to provide adequate tax advice and/or complete the tax returns in question. This exchange of information takes place (also) in a digital environment created by Tytle for the purposes of efficiency and enhancing ease of communication between User and Partner Tax Advisor.

Responsibility for Tax Returns

2.1. Upon referral by Tytle, the User becomes a direct client of the Partner Tax Advisor (the “Client”). The User accepts that the Partner Tax Advisor is solely responsible and liable for the accuracy of the tax returns, conditional upon the correctness and completeness of the data provided, directly or indirectly, by User or Client themselves.

2.2. The User acknowledges and agrees that it is their responsibility to provide accurate and correct information to Tytle and the Partner Tax Advisor. In the event that incorrect information is provided, it may lead to errors or mistakes in the tax advice or tax returns, for which the User will then be solely responsible.

2.3. Tytle is not responsible for the tax advice or tax returns prepared by the Partner Tax Advisor after referral. The User is advised to carefully review any draft tax advice or tax return prepared by the Partner Tax Advisor and to inform the Partner Tax Advisor of any errors or discrepancies. The User shall not approve any draft tax returns that contain errors or mistakes.

Fees Charged by Tytle

3.1. Tytle offers the aforementioned services to Users free of charge.

3.2 Tytle is permitted to charge its Partner Tax Advisors for services rendered, including but not limited to client intake, triage, data and document collection.

3.3. When adding Partner Tax Advisors to its network, Tytle seeks to negotiate the most favorable fees for its Users, relying on the efficiency gains realized in its processes of client analysis and upfront collection of data and documents.

Complaints and Suggestions

4.1. The User or Client, as the case may be, will direct any complaints or suggestions regarding the services provided by the Partner Tax Advisor to them directly. In the event that this does not result in a satisfactory resolution, the User is strongly encouraged to also inform Tytle.

Use of Tax Simulation Tools

5.1. The User may use the tax simulation tools available on Tytle’s website. However, the User acknowledges that these tools are not a substitute for professional advice or assistance and should not be relied upon for tax filing or tax planning purposes. The outcomes of the tax simulation tools are intended as general information only and should always be interpreted and verified by a tax professional if used as guidance in individual situations.

General Terms

6.1. These terms and conditions constitute the entire understanding between the User and Tytle with respect to the use of the Platform and supersedes all prior agreements, understandings, and representations.

6.2. Tytle may modify these Terms and Conditions at any time without notice to the User. The continued use of the Platform by the User constitutes acceptance of the modified terms and conditions.
